Our Approach

We collaborate with sellers, whether or not they have a broker or investment banker on board. Our process begins with informal discussions to gauge the business and the owner's motivations for selling.  From there, we progress to gathering detailed information through a structured questionnaire, leading to more in-depth conversations.

  • To gain a comprehensive understanding of the business, we arrange an on-site visit with the owner.  This allows us to observe operations firsthand, inspect the facilities, and build rapport with the sellers.  We typically schedule these initial meetings after regular business hours to alleviate any potential concerns from the seller.
  • Armed with the insights we've gathered, we prepare a Letter of Intent (LOI) that outlines key aspects such as valuation, timeline, and deal structure.  Once the LOI is signed, we initiate the due diligence phase, which involves thorough accounting and legal reviews, ultimately leading to a finalized purchase agreement.
  • Upon closing the deal, we provide cash payment and promptly onboard all employees, ensuring their tenure is recognized for benefits purposes. 
  • In advance of closing, we engage in strategic discussions with the seller and their leadership team.  This proactive approach helps us facilitate a seamless integration by addressing any emotional concerns from employees and customers alike.
